Mergers and Joint Ventures Essay When a company is first born, the last thing on its owners mind is merging with another company. A merger is sometimes a voluntary and sometimes and involuntary transaction. If a company has found itself in a place of financial difficult or is simply exhausted all its resources to remain open, a merger may be the only way its employees can retain their position. The alternative would be to close its doors and give up. Below we will discuss the differences between horizontal, vertical, and conglomerate mergers and how these differ from a joint venture. Horizontal mergers occur between businesses within the same industry. Often between organizations that share the same space or sell similar competing goods or services. A horizontal merger is simply put two companies who consolidate to work as one to make the goods or services better or more profitably. A good example would be when Hewlett Packard and Compaq merged. Two rival competitors selling similar goods who merged together to continue making products as a team. According to the Minority Business Development Agency, â€Å"a vertical merger occurs when two or more firms, operating at different levels within an industrys supply chain, merge operations.† The idea behind a vertical merger is synergy. When two companies that are not necessarily selling the same type of product or products, but are in the same supply chain merge together to make a more efficient company is synergy. One example of a vertical merger would be if American Airlines merged with Boeing manufacturing company. This would cut out the middle man between American and Boeing, and give American more control of the process, versus having to go through a middle man. Conglomeration mergers are mergers between two companies that have nothing in common. Usually these two companies merge to diversify their holdings. An example of a conglomeration merger would be  like a company that makes ice cream merging with a company that owns grocery stores. Although the two companies are different, one can help the other and thus make a profit for both of the companies. The difference between a conglomeration merger and a joint venture is that a joint venture can be entered into by any two companies working separately from their original purpose on a joint project that will produce a profit for both companies. The companies agreeing to a joint venture do not necessarily have to change their original company structure or management. The original company may be a different entity entirely. Joint ventures enable companies to diversify. All of these mergers are example of companies that joined forces, and either one or both disregarded their individual identity. A joint venture in comparison is when a commercial enterprise is undertaken jointly by two or more parties, while maintaining their individual identities. This could be when a cable company and phone company create a joint venture to offer their customers’ services yet have all their bills on one tab. This makes it easier for companies to offer discounts for bundling services and makes it easy on the customer because they can go to one place rather than several places for different products. If you ever wanted to kill someone, Like bury their body in your backyard kind of kill, It was probably the moment your English teach spoke these words†¦ â€Å"Your. Next. English. Paper. Is. Due. Next. Monday.† Cringing, you think desperately for a topic to write about. A topic you feel strongly about, A topic worth 20% of your grade. Oh goodness, you begin to hyperventilate. What do you feel strongly about again? You’re only seventeen!!! You’re supposed to know that already?! So you ponder. Opposite. Opposite. A paper about the opposite of something you feel strongly about. So. You. Think. Gay Marriage. NO! You refuse to write a paper about why people. Yes, PEOPLE!! Should not have the right to get married. Drugs. NO! You refuse to write a paper why drugs are good. Laughing to yourself about even the thought of that, you move on to the next possibility. Alcohol. NEGATIVE! You think to yourself, ‘Hmmm†¦ In what incident does alcohol NOT make one look like an idiot?† The stories from your English class are enough to help you keep that belief. Lost. Confused. You don’t know WHAT to write about. So you choose the one thing you can think of, pickles. Why pickles should be eaten with cream cheese. The opposite. Why pickles shouldn’t be eaten with cream cheese. Well that fails! [crumbling up the stupid paper†¦ you didn’t like it anyway. Loser.] Amazing how a rant about pickles can be so amusing†¦ But not work with the topic at hand. And you thought pickles always worked. [note sarcasm] And now, you have come to your final resort. Murder†¦. YOU MEAN!!! Rewriting the English paper†¦ Not murder†¦ Goodness that’s just silly. Who murders over a college English paper? You do obviously†¦ Frustration got the best of you? Check please! Placing your hand to your face you ponder. Your mind a complete blank. You begin to think about what you had for lunch. What did you have for lunch? [sigh] Now you’re just getting off the topic at han You can’t think like this. Your mind has gone on complete shut down and you can think of nothing. Taking a break (break†¦ yeah†¦ even though you hadn’t really been working to begin with) you go and get some pickles and cream cheese to calm your raging nerves. Your pounding heart. And finally decide†¦ why papers like this should not be assigned to college students. The opposite. why papers like this should be assigned to college students. Ok, you know your English teacher meant all the best by assigning this paper. But secretly you blame your current illness on the stress caused by the receiving of this damned paper.

Relatively small quantities of milk can provide a significant proportion of daily nutrient requirements for all age groups making it nutrient rich relative to its energy content. In addition to its contribution to nutrient intake, increased milk consumption has also been linked to reducing the risk of numerous health problems such as osteoporosis, cancer, cardiovascular disease, type 2 diabetes and obesity. Milk therefore makes a significant contribution to the human diet through provision of the macro-nutrients, vitamins and minerals. An analysis shows that young adulthood, 68% of females and 53% of males had calcium intakes lower than the recommended level of 1,000 mg/day. Milk in urban areas is accessible to common consumers in two ways: loose, unprocessed milk and packed, processed milk. Each has its own price regimen. Unprocessed milk passes through the middle persons before it reaches the urban retailer. Dairy companies are also part of the marketing structure. Small local companies have milk supply contracts with ‘dodhees’. Agriculture is the largest sector of the Pakistani economy, contributing 23 percent to the GDP and involving 42 percent of the total labor force. Livestock is the largest of the various agriculture sub sectors. Milk is the largest commodity from the livestock sector accounting for 51 percent of the total value of the sector. The farm gate value of milk is estimated to be more than Rs. 390 billion. Pakistan is the third largest producer of milk in the world with a total production of 28 billion liter of milk a year, whose value is more than that of the combined value of wheat and cotton, from a total herd size of 27 million. Milk contains ingredients necessary for the growth and maintenance of human body- proteins, fats, carbohydrates, vitamins and minerals. Milk and milk products form a significant part of the diet in many countries and a substantial part of food expenditure goes on milk and dairy products. In the quest for national food sufficiency, researchers in Pakistan have focused almost exclusively on production related disciplines and have overlooked the important allied areas of quality and yield. Quality it seems has consequently become the most forgotten aspect in almost all stages of food production, processing, distribution and consumption. This research attempts to study consumers’ attitude of young adults toward drinking milk and further to devise strategies that how the attitude of consumer could be changed or formed to incite them to drink more milk , research will be followed with theory of reasoned action model (TRA) , defined as to determine consumer beliefs associated with the consumption and drinking of milk and subjective norms (reference group importance ) and motivation to comply evaluation for milk consumption attitude. PROBLEM STATEMENT: To measure the attitude of young adults towards drinking milk. LITERATURE REVIEW: Theory of Reasoned Action Model: Theories are used to try to understand and predict how and why people change their unhealthy behaviors to healthier ones. The Theory of Reasoned Action (TRA that focuses on a person’s intention to behave a certain way. An intention is a plan or a likelihood that someone will behave in a particular way in specific situations — whether or not they actually do so. For example, a person who is thinking about quitting smoking intends or plans to quit, but may or may not actually follow through on that intent. To understand behavioral intent, which is seen as the main determinant of behavior, the TRA looks at a person’s (or population’s) attitudes towards that behavior as well as the subjective norms of influential people and groups that could influence those attitudes. According to the TRA, attitudes and norms are the main influences on intention, which, in turn, is the main motivator of behavior. Attitudes: toward a particular behavior are influenced by a combination of two related factors: ? Beliefs about the outcome of the behavior (i. e. , is the outcome likely or unlikely? ) ? Evaluation of the potential outcome (is the outcome a good thing or a bad thing? ). TRA important aspect of your attitude is whether or not it is positive, negative, or neutral. For example, if you strongly believe that drinking of milk is good, then one could say that you have a positive attitude toward that behavior. If you strongly believe that the behavior will lead to an undesirable outcome, you are likely to have a negative attitude about it. Subjective norms are influenced by our perceptions of the beliefs of those around us parents, friends, colleagues, partners, etc. According to the TRA, we have a sense or belief about whether or not these individuals and groups would approve or disapprove of the behavior. But we also have to factor in how motivated we are to comply with their views. This can vary from one situation to another. Subjective norm is defined as an individual’s perception of whether people important to the individual think the behavior should be performed. The contribution of the opinion of any given referent is weighted by the motivation that an individual has to comply with the wishes of that referent. By focusing on attitudes and norms, TRA provides a framework for identifying and measuring the underlying reasons for a person’s intent to behave a certain way (or not). It is called the Theory of Reasoned Action because of the emphasis on understanding these reasons, not because the beliefs and attitudes themselves are necessarily reasonable or correct. The more we understand about the attitudes and norms that influence intent, the more accurately our interventions can be designed to influence these in a desired direction toward a healthier behavior
